1. Purpose

This document outlines Brandgineer’s referral commission policy for external salespeople and partner agencies who introduce qualified clients to our services. Our goal is to reward partners fairly and transparently for every successful referral they bring in.

2. Who This Policy Applies To

This policy applies to two groups of referral partners:

Freelance / Independent Salespeople

Individuals who independently refer brands to Brandgineer in exchange for a commission on closed deals.

Partner Agencies

Agencies that refer clients outside their own service scope and wish to earn a commission as a referral partner. This does not constitute a white-label or reseller arrangement unless separately agreed in writing.

3. Commission Structure

Brandgineer operates a tiered commission structure based on deal type. Commissions are calculated as 10% of the qualifying revenue for the applicable period.

3.1 One-Time Projects

For one-time engagements (SEO/AEO Audit, SEO/AEO Build, Web Development, AI Marketing Strategy), the commission is:

• 10% of the total project invoice value
• Paid once, after the 30-day hold period (see Section 5)

Example: A referred client signs a $10,000 SEO Build project → Partner earns $1,000.

3.2 Monthly Retainers

For recurring monthly services (SEO/AEO Growth, AI Creative Starter, AI Creative Growth, AI Creative Enterprise), the commission is:

• 10% of the monthly retainer fee
• Paid for the first 3 consecutive months of the client’s engagement
• Subject to the client remaining active and in good standing each month

Example: A referred client starts on the AI Creative Growth plan at $5,500/month → Partner earns $550/month × 3 months = $1,650 total.

3.3 Commission Table

* Web Development and AI Marketing Strategy pricing is custom. Commission is calculated on the final agreed project value.

4. Qualifying a Referral

To be eligible for commission, the following conditions must be met:

• The referral must be submitted before the referred brand makes direct contact with Brandgineer.
• The partner must submit the referral using the official Referral Form on the Brandgineer website.
• The referred brand must be a new client with no existing relationship with Brandgineer.
• The referred brand must sign a service agreement and make their first payment.
• Referrals are valid for 90 days from the date of submission. If the deal closes after 90 days without extension, the commission will not apply.

Brandgineer reserves the right to verify referral eligibility before processing any commission payment.

5. Hold Period & Payment Schedule

5.1 Hold Period

All commissions are subject to a 30-day hold period, beginning from the date the referred client’s first payment clears. This period allows Brandgineer to verify the engagement is active and in good standing.

5.2 Payment Schedule

After the hold period, commissions are processed as follows:

• One-time projects: Single payment issued after the 30-day hold.
• Monthly retainers: Payment issued monthly for each of the 3 qualifying months, each after its respective 30-day hold.
• Payment is made via bank transfer or an agreed payment method. Partners must submit a valid invoice to receive payment.

5.3 Commission Forfeiture

Commission will not be paid or will be clawed back if:

• The referred client cancels or requests a refund within the hold period.
• The referred client’s payment fails or is charged back.
• The referral is found to be fraudulent, duplicate, or in violation of this policy.

6. Stacking & Exclusions

The following rules apply to commission eligibility:

• Referrals cannot be applied to existing Brandgineer clients or clients already in active sales conversations.
• Only one referral partner may claim commission per deal. In the event of a dispute, the earliest verified submission date takes precedence.
• Commission cannot be earned on your own company’s purchases of Brandgineer services.
• Referral commissions cannot be combined with any separate reseller, white-label, or agency discount arrangement unless explicitly agreed in a separate written agreement.

7. Taxes & Compliance

Referral partners are responsible for any applicable taxes on commissions earned. Brandgineer will issue commission payments as gross amounts. Partners operating in jurisdictions that require tax documentation (e.g., W-9 in the US) must provide the required forms before payment can be processed.

By participating in the referral program, partners confirm they are acting in compliance with all applicable laws and regulations in their jurisdiction.

8. Policy Updates

Brandgineer reserves the right to update or modify this referral policy at any time. Partners will be notified of material changes with a minimum of 14 days’ notice. Commissions for referrals submitted prior to any policy change will be honored under the terms in effect at the time of submission.
