BRANDGINEER – Referral Policy

For External Referral Partners | Effective: 2026

1. Purpose

This document sets out Brandgineer’s referral commission policy for external partners (individuals) who introduce qualified clients to our services. Our goal is to reward every successful referral fairly and transparently.

2. Who This Policy Applies To

This policy applies to individual referral partners — freelance salespeople or independent consultants who introduce qualified brands to Brandgineer in exchange for a commission on closed deals. This policy does not cover partner agencies, reseller, or white-label arrangements, which are handled separately in writing.

Scope of Work

The referral partner’s only responsibility is to introduce the qualified brand to Brandgineer. Brandgineer handles all sales, contracting, and delivery activities from that point forward. If Brandgineer closes the deal, the partner earns the commission set out in Section 3.

3. Commission Structure

Referral commission applies when Brandgineer directly closes a deal introduced by the partner.

3.1 Commission Amount

Commission is fixed at 10,000,000 VND per closed contract. The amount is the same regardless of contract value, and does not apply to renewals.

4. Qualifying a Referral

To be eligible for commission, a referral must meet the following conditions:

• The referral is submitted before the referred brand contacts Brandgineer directly.
• The partner submits the referral via the official Referral Form on the Brandgineer website.
• The referred brand is a new client with no prior relationship with Brandgineer.
• The referred brand signs a service agreement and completes the first payment.

A referral is valid for 90 days from submission. If the deal closes after 90 days without extension, commission does not apply.

Brandgineer may verify referral eligibility before processing any payment.

5. Payment Terms & Schedule

Commission is paid in VND in a single installment after the client’s first payment to Brandgineer.

Payment is made by bank transfer or an agreed method. Partners must submit a valid invoice to receive payment.

5.1 Forfeiture / Clawback

Commission will not be paid, or will be clawed back, if:

• The client cancels or requests a refund.
• The client’s payment fails or is reversed.
• The referral is found to be fraudulent, duplicate, or in violation of this policy.

6. Stacking & Exclusions

• Does not apply to existing Brandgineer clients or clients already in active sales conversations.
• Only one referral partner may earn commission per contract. In a dispute, the earliest verified submission date takes precedence.
• No commission is earned on your own company’s purchases from Brandgineer.
• Referral commission cannot be combined with any reseller, white-label, or agency discount arrangement unless separately agreed in writing.
• Arrangements with a client’s internal champion are handled privately on a case-by-case basis and fall outside the scope of this policy.

7. Taxes & Compliance

Referral partners are responsible for any taxes on commissions earned. Brandgineer pays commissions as gross amounts. Partners must provide any required tax documentation before payment can be processed. By participating in the program, partners confirm they act in compliance with all applicable laws and regulations in their jurisdiction.

8. Policy Updates

Brandgineer may update or modify this policy at any time. Partners will be given at least 14 days’ notice of material changes. Referrals submitted before a change will be honored under the terms in effect at the time of submission.
